Terms of Service

These Terms of Service ("Terms") represent an agreement between Codzee ("we," "us," "our," or "the Company") and you ("you," "your," or "Client"). We believe in transparent, fair partnerships where both sides are committed to success. By working with us, you agree to these Terms.

1. What We Do

Codzee specializes in web design, web development, and SEO services. Every project is unique, and we'll outline specific deliverables, timelines, and pricing in your project proposal. These Terms work alongside that proposal to ensure we're aligned from day one.

2. How We Work Together

Clear Scope

We start every project with a detailed scope so there's no confusion about what we're building and what success looks like.

Milestone-Based Delivery

We break projects into clear milestones with defined acceptance criteria. You'll know exactly what to expect at each stage, and payment is tied to completing these milestones—not just time passing.

Realistic Timelines

Most projects take 30-90 days depending on complexity. We commit to these timelines and will communicate immediately if anything changes.

Our Accountability

If we are more than 2 weeks late due solely to our own delays (excluding delays caused by client feedback, materials, approvals, or third parties), we'll provide a service credit as outlined below:

  • For projects with a total budget under $3,000 USD, the service credit will not exceed 10% of the total deposit value.
  • For projects with a total budget of $3,000 USD or more, the service credit will not exceed 20% of the total deposit value.

This credit will be applied toward future work or remaining project invoices, at our discretion. This service credit is the sole and exclusive remedy for delays caused by us.

Your Part

Timelines also depend on you providing materials (content, feedback, assets) when needed. We'll give you clear deadlines, and we ask that you stick to them so we can deliver on time.

3. Communication & Responsiveness

We're Here for You

We respond to all client messages within 24-48 hours during business days. You'll never be left wondering what's happening.

Project Check-ins

We provide regular updates at each milestone. If you ever feel communication is lacking, you can request a project manager call and we'll get aligned.

Feedback Windows

We ask that you provide feedback within 14 days of milestone submissions. If you need more time, just let us know—we're flexible for valid reasons.

4. Revisions & Quality

Included Revisions

Each milestone includes 2-3 rounds of revisions to ensure you're happy with the work. A revision means adjustments to existing work within the approved scope, not new features, redesigns, or changes in direction. We want this to be exactly what you envisioned.

Our Quality Commitment

We deliver work that is professionally built, stable, and functions substantially in accordance with the agreed specifications. If any material issues or defects are discovered that prevent the project from working as specified, we'll fix them at no charge.

30-Day Warranty

After project completion, we provide a 30-day warranty period for any bugs or issues related to our work. We stand behind what we build.

Extended Warranty for Larger Projects

For projects with a total budget of $3,000 USD or more, we provide an extended 90-day warranty period starting from final project delivery. During this time, we'll fix any material bugs or issues that prevent the delivered work from functioning substantially in accordance with the agreed specifications, at no additional charge.

5. Payment Structure

Deposit - What It Covers

We require a 50% deposit to begin. This covers:

  • Initial project planning and strategy
  • Design concepts and wireframes
  • Resource allocation and team scheduling
  • Securing your spot in our project timeline

Milestone Payments

The remaining 50% is split across project milestones. You pay as we deliver, which means you're never paying for work that hasn't been completed.

Payment Terms

Invoices are due within 7 days. We accept credit cards and standard payment methods.

Late Payments

If payment is delayed beyond 14 days without communication, we may pause work until the account is current. We'll always communicate before taking this step. If a project is paused for more than 90 days due to client inactivity or non-payment, the project may be considered closed. Resuming work after this point may require a new agreement or re-scoping.

6. Cancellations & Refunds

We understand that sometimes plans change. Here's how we handle it:

Early-Stage Cancellation

If you cancel before substantial work has begun (typically within the first 1-2 weeks), you'll receive a full refund of your deposit. We want you to feel confident in your decision.

Mid-Project Cancellation

If you cancel once work is underway, the deposit is non-refundable as it covers completed work and resources committed. However, you'll receive all completed work up to that point.

Satisfaction Checkpoint

At our discretion, and after reviewing the work completed, we may offer a partial refund or service credit if we believe it's fair and appropriate based on the circumstances. Any such decision will be final and based on work completed, resources used, and time invested.

Our Right to Terminate

We reserve the right to end the project if terms are repeatedly breached (non-payment after multiple reminders, failure to provide critical materials after repeated requests, or unprofessional conduct). In this case, you'll receive completed work and a prorated refund of any unused funds.

7. Scope Changes

We're Flexible

Need to add features or change direction? We're happy to adapt. We'll provide a clear quote for additional work, and once approved, we'll adjust timelines accordingly.

Staying on Track

Out-of-scope requests will be documented and priced separately. This protects both of us from scope creep and keeps the project on schedule.

8. Project Pauses

Life happens. If you need to pause the project for a valid reason (business changes, budget timing, etc.), we can place it on hold for up to 60-90 days and resume when you're ready. Just communicate with us.

9. Technical Details

Third-Party Tools

We may use plugins, themes, APIs, or other third-party services in your project. We select reliable, industry-standard options, but we can't control changes these providers make to their services.

Subcontractors & Team Members

We may use qualified contractors, specialists, or team members to complete portions of your project (such as specialized design, copywriting, or technical integrations). All subcontractors are bound by confidentiality agreements, and all work is supervised and delivered to our quality standards. You're always working with Codzee—we take full responsibility for the final delivery.

Custom Development

Any custom code we write is yours once the project is paid in full. Third-party components remain subject to their original licenses.

Hosting & Domains

Unless we specifically provide hosting or domain services, you're responsible for maintaining these. We're happy to recommend providers or help with setup.

Backups

You're responsible for backing up your website once it's live. We'll help you set up backup systems, but ongoing maintenance is on your end unless we have a separate maintenance agreement.

10. SEO Services - Real Talk

Our Approach

We use proven, ethical SEO strategies to improve your search visibility. We'll be transparent about what we're doing and why.

Realistic Expectations

SEO takes time—typically 3-6 months to see meaningful results. Rankings depend on many factors: competition, your industry, content quality, and constantly-changing search algorithms.

Our Commitment

If after 6 months of active SEO work you're seeing zero improvement in key metrics (traffic, rankings, conversions), we'll either provide additional months of service at no charge or discuss a fair resolution. We're not in the business of taking money for results we can't influence.

No False Promises

We will never guarantee specific rankings or traffic numbers—anyone who does is lying. But we will commit to consistent effort and transparent reporting.

11. Ownership & Portfolio

You Own Your Work

Once the project is fully paid, you own the final deliverables. It's your website, your design, your content.

Our Portfolio

We're proud of the work we do and would love to showcase your project in our portfolio and marketing materials. If you prefer to remain private, just let us know—we completely understand.

12. Confidentiality & Data Privacy

Confidentiality

We keep your business information, project details, and sensitive data confidential. We expect the same regarding our processes, pricing, and proprietary methods.

Data Protection

  • Your data is hosted securely on servers in the United States
  • You have the right to access, correct, or delete your data at any time

13. Both Sides Have Responsibilities

This is a partnership. We both need to show up.

14. Liability & Protection

We're Professionals

We take responsibility for our work. If we make a mistake, we fix it.

Reasonable Limits

Our liability is limited to the amount you paid for the project. We can't be held responsible for indirect losses (like lost revenue) that result from factors outside our direct control.

Your Content

You confirm that materials you provide don't infringe on copyrights or other rights, and aren't illegal or harmful. You agree to cover us if claims arise from content you provided.

Force Majeure

Neither of us is liable for delays caused by circumstances beyond our control (natural disasters, pandemics, major internet outages, etc.).

Except for the express commitments stated in these Terms, we do not make any additional warranties or guarantees, express or implied.

15. Disputes & Resolution

Let's Talk First

If you're unhappy about something, tell us. Most issues can be resolved with a straightforward conversation.

Escalation Path

If talking doesn't work, we'll bring in a senior team member or have a formal project review meeting.

Mediation Before Litigation

If we still can't resolve it, we agree to try mediation before any legal action. It's faster, cheaper, and usually gets better results for everyone.

Governing Law

These Terms are governed by the laws of Pakistan. Any legal proceedings would take place in the appropriate courts of Pakistan.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Changes to These Terms

We may update these Terms occasionally as our business evolves. Changes will not affect ongoing projects, we'll notify you directly.

17. The Complete Agreement

These Terms, combined with your project proposal and any written agreements, represent our complete understanding. They supersede any previous discussions or informal agreements.

Electronic Acceptance

By clicking "I Agree," submitting a project inquiry, making a deposit payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. Electronic signatures and acceptances are legally binding and equivalent to physical signatures.
